Summary of Terms:

•       Issuer: Nomura, S&P - A

•       Currency: USD  3 Year Term

•       Subscription period:  4 weeks, closing  28th March 2010

•       Underlyings:  Hang Seng China Enterprises and iShares MSCI              Brazil Index

Payoff: 

•       Annual autocall from Ist anniversary

•      If from the 1st or any subsequent anniversary all the indices are level or above the initial strike levels, the product will call early and pay an annual coupon of +10% for each year the product has been active

•      For example, if the product calls at the end of year 2, then the return will be : 100% of capital + (2 x 10%) = +20%

Conditional capital protection: 

•       If the product runs to maturity & no index is more than -50% of the initial level, 100% capital is returned
